Transfer of business from Hodge Life Assurance Company Limited (“Hodge Life”) to Omnilife Insurance Company Limited (“Omnilife”)

From 23:59 GMT on 30 April 2023, Hodge Life’s business transferred to Omnilife to simplify the way our business is run. Policies continue to be administered by the same team of people as before the transfer. The terms and conditions of Omnilife policies haven’t changed.

On this page, you’ll find a timeline for the transfer, examples of the letters and other communications we sent our customers, as well as more detailed information which we submitted to the Court.

    The regulators considered and approved Stephen Makin to act as the Independent Expert for the transfer process.

  • Directions Hearing

    The court considered and approved our approach to communicating with you at an initial court hearing known as the Directions Hearing.

    This is when we started to write to customers to provide information on the transfer.

    The Independent Expert prepared a supplementary report which included his view of any changes to the Scheme; to the companies and their financial health; and/or to the external environment. He considered whether any of these changes cause him to change his conclusions. This report also covers details of the Policyholder's questions and concerns.

    STATUS: complete

    The court carefully considered the scheme, including the reports prepared by the Independent Expert, the regulators and the objections raised. The Scheme was sanctioned by the Court.

We transferred all Hodge Life’s insurance business, including the policies, assets and liabilities, into Omnilife which is a similar business and also part of RGA.

Bringing the two insurance companies together helps us to manage our business more efficiently as one larger business. We continue to offer Policyholders the same high quality service. The transfer simplifies aspects of our activities and avoids duplicating areas within the business that occur with two separate companies.

Although there are now more policies managed by Omnilife, the staff who managed the Omnilife policies before the transfer continue to do so. We don’t expect you to experience any change. We have adequate staffing and other resources to manage the increased number of policies. The larger scale of the combined business allows us to continue to offer our Policyholders a high quality of service. This also helps us simplify some of our activities and avoid duplicating some things which we needed to do with two separate companies.
